The aim of harmonising legislation with the EU acquis in the field of company law is to create a business climate that will enable local businesses’ competitiveness and equal treatment in the EU market. In addition to this, it will help achieve legal certainty, as a prerequisite for successful business operations and investment.
Even though the national legislation is largely aligned with the acquis in the area of company law, it is necessary to ensure adequate implementation. Among the key remaining aspects for alignment is the concept of cross-border mergers of public limited liability companies. Also, it is necessary to ensure that the European Company (Societas Europea) can be created and can operate in Serbia, in accordance with the statutes for a European company and for European Economic Interest Grouping.
The project Legal Support for Negotiations provided assistance to the Ministry of Economy and the Serbian Business Registers Agency in drafting amendments to the provisions of the Law on Companies, in order to facilitate further harmonization of national legislation in the field of company law.
